These Terms and Conditions (“Terms”) govern the provision of services by Konfetiflow (“Konfetiflow”, “we”, “us”, or “our”) to its clients (“Client”, “you”, or “your”).
By engaging Konfetiflow’s services, you acknowledge that you have read, understood, and agreed to these Terms.
About Konfetiflow
Konfetiflow is a digital marketing studio based in Madrid, Spain, providing services including email marketing, website design, and related digital support.
Services are delivered remotely and may be provided to clients located in different countries.
Scope of Services
Konfetiflow provides services as defined in a written proposal, agreement, or confirmed scope prior to the commencement of work.
Services may include, but are not limited to:
Email marketing (campaigns, flows, setup, support)
Website design and development
Related digital and creative services
The specific scope, deliverables, timelines, and fees will be agreed in writing before work begins.
Any services or requests not expressly included in the agreed scope shall be considered out of scope and may require additional fees or a revised agreement.
Client Responsibilities
The Client agrees to cooperate in a timely and reasonable manner to enable the delivery of services.
This includes providing all necessary content, materials, access credentials, approvals, and information required for the execution of the work.
The Client is responsible for ensuring that all materials provided are accurate, lawful, and do not infringe any third-party rights.
Delays in providing required inputs may result in delays to project timelines, for which Konfetiflow shall not be held responsible.
Communication and Approvals
Konfetiflow will provide opportunities for review and feedback as part of the service delivery.
Unless otherwise agreed, the Client is expected to provide feedback within a reasonable timeframe. Feedback should be consolidated to avoid delays or duplication of work.
Failure to provide feedback within agreed or reasonable timeframes may be considered as approval of the work delivered and may impact timelines.
Fees and Payment Terms
Fees for services will be outlined in the relevant proposal, agreement, or invoice.
Unless otherwise agreed in writing:
Projects may require full or partial payment in advance
Ongoing services are billed on a recurring monthly basis
Invoices are payable within 14 days of the invoice date
Konfetiflow reserves the right to suspend or delay services in the event of late or non-payment. All fees are exclusive of applicable taxes unless otherwise stated.
Changes and Additional Work
Any request that falls outside the agreed scope of services shall be treated as additional work.
Konfetiflow reserves the right to:
Provide a revised quote or estimate
Adjust timelines accordingly
Decline requests that fall outside the agreed engagement
We do not sell, rent, or share your personal data with third parties for their own marketing purposes.
Intellectual Property
Upon full payment of all applicable fees, the Client is granted a non-exclusive right to use the final deliverables for their intended business purposes.
Konfetiflow retains ownership of all underlying methodologies, frameworks, templates, processes, and know-how used in the delivery of services.
Konfetiflow reserves the right to display completed work in its portfolio, marketing materials, and case studies, unless otherwise agreed in writing.
Any third-party assets, software, or tools used remain subject to their respective licenses and terms.
Third-Party Tools and Platforms
Konfetiflow may use or recommend third-party platforms and tools (including, but not limited to, email marketing platforms, website builders, analytics tools, and scheduling systems).
The Client acknowledges that:
They may be required to create and maintain their own accounts with such providers
Their use of such tools is subject to the provider’s own terms and policies
Konfetiflow shall not be liable for any issues, limitations, outages, or changes arising from third-party platforms.
Limitation of Liability
Konfetiflow provides services with reasonable care and professional diligence. However, no guarantees are made regarding specific results, including but not limited to revenue, conversions, or business performance.
To the maximum extent permitted by law, Konfetiflow shall not be liable for:
Indirect, incidental, or consequential damages
Loss of profits, revenue, data, or business opportunities
Any issues arising from third-party tools, platforms, or external factors
Termination
Either party may terminate the working relationship with written notice.
Unless otherwise agreed:
Ongoing services require 30 days notice
One-off projects are non-refundable once work has commenced
In the event of termination, the Client shall pay for all work completed up to the termination date.
Confidentiality
Both parties agree to keep confidential any non-public, sensitive, or proprietary information disclosed during the course of the engagement.
Such information shall not be disclosed to third parties without prior consent, unless required by law.
Data Protection
The Client is responsible for ensuring that any data shared with Konfetiflow complies with applicable data protection laws and that appropriate permissions have been obtained.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Spain.
Konfetiflow provides services to clients internationally. To the extent permitted by applicable law, any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
Changes to These Terms
Konfetiflow reserves the right to update these Terms from time to time. The latest version will be made available on the website.
